The Letter of Intent (LOI)
Aside from provisions on the purchase price, the Letter of Intent contains a number of core clauses about the transaction terms and procedures to be followed.
The letters of intent we draw up for our clients include clauses to prevent legal conflicts as much as possible. For instance, we place considerable emphasis on the confidentiality of sensitive information and regularly advise on the exclusivity clause, such that the seller can terminate discussions if a potential buyer tries to renegotiate without good reason. Drafting a Letter of Intent for a business acquisition entails more than just ‘pulling a model from the drawer’. They have to be very precisely formulated, and our legal expertise ensures that the client receives a solid Letter of Intent.
